Terms of Service

These Terms of Service (“Terms”) govern your access to and use of The Rooster, including our mobile application, website at therooster.app, and related services (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

The Rooster provides tools for discovering and managing sports tournaments—currently emphasizing slow pitch softball—including team registration, schedules, brackets, and related director tools. We may add or change features and supported sports over time.

The Service is provided on an “as is” and “as available” basis. We may modify, suspend, or discontinue any part of the Service at any time.

2. Eligibility

You must be at least 13 years old (or the minimum age in your jurisdiction) to use the Service. If you are under 18, you represent that you have permission from a parent or guardian. Directors and anyone accepting payments through the Service must be legally able to enter contracts and comply with applicable laws.

3. Accounts

  • You are responsible for keeping your login credentials secure and for activity under your account.
  • You agree to provide accurate information and to update it as needed.
  • We may suspend or terminate accounts that violate these Terms or pose risk to the Service or other users.

4. Players, teams, and directors

Players and teams

You may browse tournaments, join teams, register for divisions, and use features made available for participants. Registration into a paid division constitutes your agreement to pay applicable fees shown at checkout and to follow the director’s event rules.

Directors and organizers

If you create or manage tournaments, you are responsible for your events—including accuracy of listings, pricing, schedules, refunds, communications with participants, and compliance with local laws, league rules, and venue requirements. You are not an employee or agent of The Rooster; you operate your events in your own capacity.

5. Fees and payments

  • App access: Downloading and using The Rooster is free unless you pay fees described at registration (for example, tournament entry fees set by a director).
  • Registration payments: Paid registrations are processed by Stripe. By paying, you agree to Stripe’s terms and authorize us and Stripe to charge your selected payment method for the amounts shown, including any platform or convenience fees disclosed before you confirm payment.
  • Director payouts: Directors receiving funds may need to complete Stripe Connect onboarding. Payout timing and availability are subject to Stripe’s rules and verification requirements.
  • Refunds: Refund eligibility depends on the tournament’s policies and applicable law. When a director or we initiates a refund through the Service, funds are returned according to Stripe and bank processing timelines. Disputes about event quality or cancellations are primarily between participants and the director, though we may assist where appropriate.
  • Free divisions: Directors may offer divisions with no entry fee; no payment is required for those registrations.

6. Acceptable use

You agree not to:

  • Use the Service for unlawful, fraudulent, or harmful purposes;
  • Harass, impersonate, or abuse other users;
  • Upload malware, scrape the Service without permission, or attempt unauthorized access;
  • Misrepresent tournaments, fees, or payout terms;
  • Circumvent payment flows or fees required by the Service;
  • Use the Service in any way that infringes intellectual property or privacy rights of others.

7. Content and intellectual property

The Service, including software, branding, and design, is owned by us or our licensors and protected by intellectual property laws. You receive a limited, non-exclusive, revocable license to use the Service for personal or organizational tournament purposes in accordance with these Terms.

You retain ownership of content you submit (for example, team names, photos, or descriptions). You grant us a worldwide, royalty-free license to host, display, and use that content solely to operate and improve the Service.

8. Third-party services

The Service integrates with third parties such as Supabase, Stripe, Google, Apple, and Expo. Your use of those services may be subject to their separate terms and policies. We are not responsible for third-party services outside our reasonable control.

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION, ACCURATE BRACKETS OR SCORES, OR THE CONDUCT OF ANY USER OR DIRECTOR.

The Rooster is a technology platform. We do not organize, sanction, or insure real-world events unless explicitly stated in writing.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.

11. Indemnification

You agree to indemnify and hold harmless The Rooster and its affiliates from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your content, your events (if you are a director), or your violation of these Terms or applicable law.

12. Dispute resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles, except where mandatory local law applies.

Before filing a claim, you agree to contact us at support@therooster.app to try to resolve the dispute informally. Any dispute not resolved informally shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there, unless applicable law requires otherwise.

13. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or for operational or legal reasons. Provisions that by their nature should survive (including payment obligations, disclaimers, limitations of liability, and indemnity) will survive termination.

14. Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and update the “Last updated” date. Continued use after changes become effective constitutes acceptance of the revised Terms, except where prohibited by law.
